Baseline website and evaluation terms for VexylCloud.

These Terms & Conditions govern access to the VexylCloud website and, unless replaced by a signed agreement, form the baseline terms for evaluation, procurement, and buyer communication.

Permitted use

You may use the VexylCloud website and public materials for lawful business evaluation, procurement review, product research, and communications with the VexylCloud team. You may not misuse the website, interfere with its operation, or attempt unauthorized access to systems, content, or data.

Evaluation and pre-sales scope

Website content, product demonstrations, API descriptions, pricing, and trust material are provided for informational and commercial-evaluation purposes. Access to production services, formal onboarding, paid features, data processing, and support commitments is governed by the relevant order form, agreement, or statement of work.

Fair use and minimum monthly commitments

VexylCloud does not currently impose a blanket minimum monthly spend. We would rather operate in good faith and assume customers will evaluate and use the platform responsibly than place an arbitrary minimum on every account.

However, if VexylCloud determines that an account is abusing free or low-cost services, consuming shared resources without meaningful paid platform usage, or repeatedly using free services without maintaining normal commercial usage such as managed agents or SaaS backup workloads, VexylCloud may require that account to move to a plan with a minimum monthly charge, apply reasonable usage guardrails, or suspend abusive activity upon notice.

VexylCloud may update pricing, packaging, and these Terms from time to time to address such abuse. Where commercially reasonable, those changes will be applied prospectively and with notice.

Acceptable use and restrictions

No unlawful, fraudulent, abusive, or security-hostile use of the website or related materials
No interference with authentication, availability, or protective controls
No reverse engineering, scraping, or automated abuse beyond reasonable evaluation activity
No reproduction or redistribution of proprietary materials except as permitted by law or written agreement

Intellectual property

Unless otherwise stated, the VexylCloud website, brand elements, copy, documentation, designs, software, and related materials are owned by VexylCloud or its licensors and are protected by applicable intellectual property law.

Roadmap, previews, and commercial discussions

Statements about product direction, rollout sequencing, previews, design-partner access, or future capabilities are informational only and do not create a binding commitment unless expressly stated in a signed agreement.

Disclaimers

Except as expressly stated in a signed agreement, the website and pre-sales materials are provided on an “as is” and “as available” basis. Operational targets, timelines, pricing details, and documentation may change as the platform evolves.

Liability

To the maximum extent permitted by law, VexylCloud is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website or pre-contractual materials. Contracted customer relationships may be governed by separate negotiated liability terms.

Priority of signed agreements

These terms are intended as baseline website and evaluation terms. They may be supplemented or superseded by a later signed agreement covering the relevant services, commercial commitments, privacy, support, and data-processing terms.
